Biography

Mikhail E. Lezhnev (Mike) is an Of Counsel Attorney with Urban Thier & Federer, P.A. He is based out of the New York City office. Mr. Lezhnev is also a CPA and works with private businesses and individuals concerning private-business legal matters, income taxes, and estate planning.

Mr. Lezhnev counsels private businesses on a variety of legal matters, including corporate organization and governance (e.g., bylaws and minutes), operating agreements, various business contracts, USPTO trademarks, employee handbooks and agreements, and online terms and conditions. Further to this, Mr. Lezhnev has served as General Counsel to a private telecommunications company and its affiliated IPTV company in New York City for over four years.

Mr. Lezhnev’s transactional tax matters have included tax entity selections, liquidations, corporate contributions and distributions as well as stock and asset acquisitions. Mr. Lezhnev has also represented and counseled clients in income/estate tax audits and voluntary disclosures of non-compliant foreign assets before the IRS, state tax departments, and the IRS Appeals Office. His other tax matters have included advising on the 2017 Tax Reform, compensation tax planning, international asset tax compliance, and tax basis planning.

In addition, Mr. Lezhnev counsels individual clients concerning estate planning, including basic and complex Wills, trust agreements, and related documents. Mr. Lezhnev is a lifelong New Yorker who is fluent in Russian.
